			<title>中国饭店成功运作MBO的几点思考</title>

<p><font size="3"><span style="mso-bidi-font-size: 10.5pt">1</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">、正处在探索阶段。</span></font><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">对于我国企业而言，</span><span style="mso-bidi-font-size: 10.5pt">90</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">年代后期才开始尝试运作</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">，</span><span style="mso-bidi-font-size: 10.5pt">1999</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">年</span><span style="mso-bidi-font-size: 10.5pt">7</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">月四通集团开始了首例管理层收购。尤其是</span><span style="mso-bidi-font-size: 10.5pt">2002</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">年底《上市公司收购管理办法》和《上市公司股东持股变动信息管理办法》的颁布，以及财政部放开了国有股向民营企业转让的政策，不少上市公司陆续采用此办法对公司进行相关改制。然而在此期间出现了很多问题，</span><span style="mso-bidi-font-size: 10.5pt">2003</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">年</span><span style="mso-bidi-font-size: 10.5pt">4</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">月，财政部向原国家经贸委企业司发函，建议在相关法规制度未完善之前，对管理层收购行为（针对大型国有企业）予以暂停受理和审批，待有关部门研究提出相关措施后再作决定。在这期间有很多中小企业采用这种改制形式。随着相关法律法规的完善，前不久国资委又出台新规定，决定对国有大型企业管理层持股解禁，</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">又开始推动大型国有企业的改制发展。</span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>

<p><font size="3"><span style="mso-bidi-font-size: 10.5pt">2</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">、试行的范围较广，层面较小。</span></font><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">一方面，由于我国具体的条件和环境不同，在收购目的、操作机制、收购主体等方面都不同于国外的</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">（吴东晓、戴维奇，</span><span style="mso-bidi-font-size: 10.5pt">2004</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">；盛立军，</span><span style="mso-bidi-font-size: 10.5pt">2005</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">）。我国进行的管理层收购是在借鉴西方实践的基础上结合中国国情进行的，因此并非仅仅局限于上市公司，是&ldquo;中国式&rdquo;的</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">（简梦雯、杨平，</span><span style="mso-bidi-font-size: 10.5pt">2005</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">）。</span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>
<p align="left"><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">另一方面，据有关资料显示，国内至少有</span><span style="mso-bidi-font-size: 10.5pt">100</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">多家上市公司正在酝酿或者已经实施</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">，然而由于我国上市饭店数量很有限，而非上市国有或集体饭店数量众多，管理层收购主要集中在非上市国有或集体饭店这个层面，尤其是非上市的国有中小饭店。实际上，上市公司由于法律、法规要求更为严格，在操作过程中要比非上市公司难度高得多。</span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>
<p align="left"><font size="3"><span style="mso-bidi-font-size: 10.5pt">3</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">、失败的几率较高。</span></font><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">饭店管理层收购，指饭店（包括上市和非上市饭店）中的管理层依靠自身力量融资以收购饭店全部或者部分股份，改变饭店的产权，实现饭店改制的目的。目前我国一些国有饭店采用管理层收购的形式来实现改制，无论是就其操作过程还是将改制后的业绩作为评判标准，很多饭店的管理层收购只能算是失败。</span></font></p>
<p align="left"><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">&nbsp; 目前我国饭店业运行</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">失败主要体现在以下几方面：</span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>
<p><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">（</span><span style="mso-bidi-font-size: 10.5pt">1</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">）国有资产出现大量流失。目前从现有上市公司的管理层收购案来看，大部分的收购价格低于公司股票的净资产；对于非上市公司很多企业的国有资产评估低于实际价值。对于国有饭店来说，由于它的产权难界定，资产评估难准确，更容易造成国有资产的流失。如</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体">海航酒店有限公司进驻山西迎泽宾馆后，重新评估其资产，将股份制改前评估的<span>3.4</span>亿元资产核减为<span>1.764</span>亿元资产，造成了国有资产<span>1.7</span>亿元的流失。</span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>
<p><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">（</span><span style="mso-bidi-font-size: 10.5pt">2</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">）收购中出现不公平和不公开的行为，如内部人交易、暗箱操作等。一些国有饭店在运作</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">的过程中，一方面有关部门没有及时充分地披露信息，导致信息缺乏及时性和有效性，影响了部分人的参与；甚至没有公开</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">的运作过程，导致出现暗箱操作等很多违规行为；另一方面为了某些人的个别利益，政府或酒店故意设置条件限制的高门槛，从而将竞争对手挡在门外。</span></font></p>
<p><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'"></span></font><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">（</span><span style="mso-bidi-font-size: 10.5pt">3</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">）管理层的融资渠道、支付方式、收购主体等出现了不合法行为。由于管理层很难依靠自身力量筹集到所需资金，只好选择各种融资渠道和融资方式，往往容易违反有关法律法规，如有的管理层以饭店做抵押，向银行贷款购股，这种行为实际上是不合法的。同时管理者收购主体也不能保证合法化（马若微，</span><span style="mso-bidi-font-size: 10.5pt">2003</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">），如我国《公司法》中有&ldquo;对外累计投资额不得超过公司净资产</span><span style="mso-bidi-font-size: 10.5pt">50</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">％&rdquo;的有关规定，使得很多壳公司在我国的存在是不合法规的。</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体">江苏省社科院企业与公共管理研究中心主任叶克林指出：<span>&ldquo;</span>有些机关宾馆的管理人实际是党政干部，而非职业经理人，他们在企业改制时是否有资格享受股权奖励，目前在理论上还未得到认同。<span>&rdquo;</span></span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>
<p><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">（</span><span style="mso-bidi-font-size: 10.5pt">4</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">）各方利益的很难权衡导致出现各种问题。一方面原饭店抵押、债券、债务等第三者责任无法界定，出现一些无法解决的纠纷事件。另一方面由于收购参与者的目的不同：管理者希望经营好饭店以获得更高的回报；风险投资家则希望在短期内提高股东的价值；银行则希望能够及时收回贷款和利息。目的的不一致导致管理者在经营饭店中难以协调多方面的问题，影响了改制的效果（</span><span style="mso-bidi-font-size: 10.5pt">Frier &amp; Birley</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">，</span><span style="mso-bidi-font-size: 10.5pt">1999</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">）。</span></font></p>

<p><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">对于上市公司，</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">要求一方面企业的负债率要低，这样收购后可以很好的体现杠杆作用；另一方面企业的股权要分散，这样管理层就能用比较少的资金获得控制权，在一定程度上解决了融资难的问题。然而我国上市饭店数量少、负债率高、股权集中的特点，决定了</span><span style="mso-bidi-font-size: 10.5pt">MBO</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">很难在上市饭店中有效运行。</span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>

<p><font size="3"><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体">（<span>4</span>）土地的使用问题是当前</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">评估中</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-font-kerning: 0pt; mso-bidi-font-family: 宋体">的热点问题。前面提到的江苏机关宾馆的改制引起了很大差价，据相关会计公司说<span>&ldquo;</span>我们做出的资产评估并没有包括饭店土地出让金和无形资产。<span>&rdquo;</span>而最终以租赁方式解决了用地问题。目前土地使用主要有两种方式：一是一次性交付土地出让金，二是每年支付土地租赁费。现在多数改制饭店是采用每年交租赁费的方式，然而目前对土地租赁费没有什么相关的法规和参照标准，同时土地的使用形式在不断改变，这使得土地的租赁费评估比较难</span><span style="FONT-FAMILY: 宋体; mso-bidi-font-size: 10.5pt; mso-ascii-font-family: 'Times New Roman'; mso-hansi-font-family: 'Times New Roman'">。</span><span style="mso-bidi-font-size: 10.5pt"></span></font></p>
